The Poised Professional, LLC makes no claim on any work submitted for proofing or editing. Any documents submitted remain the intellectual property of the client. The Poised Professional has a confidentiality agreement to waive the claim to any intellectual property submitted through the Service. You agree that you own all rights in the documents or otherwise have obtained tsufficient rights to grant the rigts you grant by these Terms and Conditions: the documents do not contain any content that is the following: 1) libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, infringing on intellectual property rights, abusive, illegal, or otherwise objectionable, 2) may constitute or encourage a criminal offense, violate the rights of any party or otherwise give rise to liability or violate any law, 3) may contain software viruses, or 4) may adversely affect the public image, reputation, or goodwill of The Poised Professional, LLC.

Any new features or tools added are also subject to Terms of Service. You can review the most current version at any time on this page. We reserve the right to update, change, or replace any part of these Terms and Conditions by posting updates and/or changes to the website. » CLIENT RESPONSIBILITY
By using this Service, the client accepts responsibility for all documents, materials, or information that the client sends or authorizes a third party to sent via e-mail, uploading, or any other method to The Poised Professional, LLC. This liability includes, but is not limited to, all liability resulting from any virus, malware, spyware, worm, “Trojan Horse,” or other contamination, self-replicating, malicious, or destructive feature of the material.
The client agrees to indemnify and hold harmless The Poised Professional, LLC against all losses, expenses, damages, and costs, including reasonable attorney fees, resulting from any lawsuit, arbitration, dispute, or similar proceeding involving but not limited to, a criminal violation of state and federal laws (including Federal Copyright laws), civil claim for tort, contract and/or property damages or an administration proceeding which arises from the publication, distribution, transmission, communication, disclosure, or redistribution related to the material the client sends, transmits. The client agrees to hold harmless the Poised Professional, LLC against all losses, expenses, damages, and costs including reasonable attorney fees, resulting from the client’s violation of this agreement.
The client warrants that by sending, communicating, transmitting or submitting any written work to us, that that client is not in violation of any local, state, or federal laws (including Federal Copyright laws).
» COMPLETION OF WORK
Once the document has been completed and ready to be returned to the customer the customer will be notified that the work is completed. Upon completion of the work, the customer is obligated to render payment in full. The customer agrees to hold us harmless for any failure to meet a deadline resulting from the customer’s failure to pay for services rendered.
The customer is therefore advised that is the responsibility of the customer to select the due date to allow the customer sufficient time to receive the notification by e-mail that the customer document is edited and ready to return to the customer, to pay any reminder due for the project, to receive the Customer’s edited document by e-mail, and to the review the company’s work on the customer’s edited document before any other deadlines the customer may have.
The customer acknowledges and agrees that the e-mail address provided by the customer on the Paper/Dissertation Request Form and/or the Professional Services Request Form is correct and that this e-mail address is the best and most efficient way t receive notification by e-mail that the customer’s document is ready. The customer agrees to hold the company harless for the customer’s negligence, recklessness, or any actions or omissions on the customer’s party that caused the customer to miss a deadline despite the fact that the company completed the work prior to the due date. For example, if would be the customer’s negligence if the an e-mail from us went to the customer’s “SPAM” folder and the customer did not check that folder for any e-mails. It would also be considered negligence if the customer provided an e-mail address that the customer did not actively monitor.
Neither the customer nor company shall be liable for any failure to perform either party’s obligations where such failure is a result of an “Act of God.” This includes but is not limited to: fire, flood, earthquake, severe storm, hurricane, other natural disasters, war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity, Internet access, or telephone service.
» DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
not guarantee, represent, or warrant that your use of our service will
be uninterrupted, timely secure, or 100% error free. We do not warrant
that the results that may be obtained from the use of the service will

» GOVERNING LAW
These Terms and Conditions and any separate agreements whereby we provide you services shall be governed by and construed in accordance with laws the law of Mississippi Venue for any mediation, litigation, special proceedings, or other proceedings as between the parties. that may be brought or arise out of, in connection with, or by reason of the Terms and Conditions, shall be in Hinds County, Mississippi.
You agree to indemnify, defend, and hold harmless The Poised Professional, LLC and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contracts, licensors, service providers, subcontracts, suppliers, interns and employees harmless from any claim or demand, including reasonable attorney fees, made by any third party due to or arising out of your breach of these Terms and Conditions or the documents incorporated by reference or your violation of any law or the rights of a third party.
» OPTIONAL TOOLS
We may provide you with third-party tools over which we neither monitor nor have control or input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use of you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.
» PERSONAL INFORMATION
» PLAGIARISM CHECK
The Poised Professional, LLC respects and values all original works of authorship. If service is refused based on a reasonable belief that the customer’s document is plagiarized or that the client’s document contains indicators suggesting the customer’s document is plagiarized, then we will refund any amount paid by the client.
At the sole discretion of The Poised Professional, LLC, we may opt to complete revisions to the document in question ad provide the client with a written notice of our belief that the document is plagiarized. The client agrees to hold the us harmless for the client’s personal liability resulting from the use of plagiarized work in a document that the company has received or edited, regardless of whether the company has notified the client of any belief that the client’s document contains indicators of plagiarism.
Under no circumstances will we attempt to write, ghost-write, re-write or otherwise edit and/or revise a document to remove or mitigate the apartment signs and/or indicators that the client’s document has been plagiarized.
» PRICE AND SERVICE MODIFICATIONS
Prices are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part of the content thereof) without notice at any time.
» REFUSAL OF AGREEMENT
If the client does not agree to the terms in this agreement, the client must exit the Service. The client may do by closing the client’s browser or clicking the back button.
No fees will be refunded if the customer does not provide the company a cure period with all the reasons of the customer’s initial dissatisfaction within 15 calendar days of services rendered. Also, no payments will be refunded if the customer does not notify the company of the customer’s continued dissatisfaction within 5 business days after receiving a free Second Edit to explain the reasons for continued dissatisfaction.
No reimbursement will be made, except on the basis of unsatisfactory work as provided in the previous subsection or in the situations of negligence or recklessness on the part of the company.
No reimbursement will be made for any deadlines missed as a result of the customer’s choice of due date—even if the customer selects a due date on a date that occurs after any other deadlines the customer may have.
All deposits are considered non-refundable once the company has started the work, unless otherwise provided in this section.
The Poised Professional, LLC is committed to providing all clients affording, high-quality professional and academic services. If for any reason the customer is not satisfied with the work, the customer agrees, before seeking reimbursement, to the contact us by e-mail at email@example.com within 15 calendar days of receiving the work.
If the customer is dissatisfied, the customer acknowledges and agrees to provide the company, unless otherwise negotiated in writing with a cure period to provide the customer with a free second edit. This free edit will allow the company to reasonably modify the due date in order to make the necessary changes.

» TIME IS IMPERATIVE
Unless otherwise agreed to IN WRITING, time is of the essence for the completion of the work described in this agreement.

We are under no obligation to maintain any comments in confidence, pay compensation for any comments, or respond to any comments.
